StartupDocs and SeedLegals cover different stages.

SeedLegals has earned its place in the UK startup toolkit: funding rounds, SEIS and EIS advance assurance, EMI option schemes, and the equity paperwork around them, done as a product with humans behind it. If you are raising a round or setting up options in the UK, that is the specialist category, and this is not the page that talks you out of it.

StartupDocs covers the paperwork between the fundraising moments: the privacy policy and DPA your customers ask about, the NDAs, employment contracts, and agreements you sign every month, drafted from templates, edited with tracked changes, and checked against compliance rulepacks. Two different stages of the same company's life.

The two jobs

What each one is built for.

WHAT SEEDLEGALS IS BUILT FOR

SeedLegals

  • Funding rounds: term sheets, shareholder agreements, and the legal mechanics of raising in the UK.
  • SEIS/EIS advance assurance and the schemes UK angel investors expect.
  • Equity infrastructure: cap table, EMI option schemes, and the grants that follow.

WHAT STARTUPDOCS IS BUILT FOR

StartupDocs

  • The operating documents: privacy policy, terms, cookie policy, DPA, NDAs, employment, contractor, and sales agreements.
  • Compliance upkeep: rulepack checks against GDPR, UK DPA 2018, PECR, and CCPA, re-run whenever details change.
  • One hub where the whole set lives: tracked changes, version history, and exports that hold up.

The honest split

Which one should you pick?

Nobody runs both pages of this table at once. Find the line that sounds like your week.

Choose SeedLegals if

  • You are raising a priced round, or preparing to, and need the round documents done properly.
  • You want SEIS/EIS advance assurance before talking to UK angels.
  • You are setting up an EMI option scheme or managing a cap table.

Choose StartupDocs if

  • Customers, not investors, are asking for documents: a privacy policy, a DPA, a signed contract.
  • You want the everyday document set drafted, checked, and kept consistent without buying legal hours for it.
  • GDPR and UK data rules apply to you (they do) and nothing you have has ever been checked against them.

Where they meet

The overlap, without the spin.

There is overlap at the edges: both products offer employment and consultancy agreements, and both aim at UK founders without counsel. But the centres of gravity are far apart. SeedLegals is organised around equity events; StartupDocs is organised around the document set and its compliance over time. We do not do term sheets, SEIS/EIS, options, or cap tables, and we are not going to pretend otherwise.

Plenty of companies will sensibly use both: SeedLegals when raising, StartupDocs for the paperwork the other fifty weeks of the year. Exports are standard PDF and DOCX, so nothing about using us complicates a data room when the round comes.

The one claim we keep for ourselves: five documents in your first week, checked and exported, or every penny back. It is written into our terms, not just this page.

FAQ

Fair questions.

Is StartupDocs a SeedLegals alternative?

For funding rounds, no: we do not produce term sheets, shareholder agreements, SEIS/EIS applications, or option schemes, and a founder who needs those should be looking at the specialists. For the everyday legal documents (policies, NDAs, employment and contractor agreements, DPAs) with compliance checks on top, yes: that set is exactly what StartupDocs exists for.

Can I use StartupDocs and SeedLegals together?

Yes, and the split is natural: equity and fundraising events on one side, operating documents and compliance upkeep on the other. There is no integration to configure because the workflows barely touch; the one practical overlap is employment paperwork, where you should simply pick one source and stay consistent.

Does StartupDocs help with due diligence?

Indirectly but genuinely: diligence goes faster when the paperwork exists, is signed, and agrees with itself. Founders' agreements with vesting, employee IP assignment, a privacy policy that matches reality: these are the items that stall a raise when they are missing. StartupDocs keeps that set drafted and checked; the round documents themselves are the specialist's job.
